Clubs, associations, and organizations range from very small to quite large. BSARC falls squarely into the “very small” category. We operate with minimal documentation specifically tailored to our operational scope—maintaining minimal community funds, no mandatory member dues, and no complex capital assets.

Introduction
The Brunswick Shores Amateur Radio Club is formed in a lean, highly flexible manner. Our foundation relies on custom Articles of Formation, standard club By-laws, an IRS Employer Identification Number (EIN) for banking, and formal registration with the North Carolina Secretary of State as an Unincorporated Non-profit Association. This structure keeps administrative overhead low while allowing effortless expansion if future club needs warrant it.
History of Club - Why we formed
Before the Uniform Unincorporated Non-Profit Association Act was passed in North Carolina, most local amateur radio clubs were structured under formal corporate umbrellas. Originally, the Brunswick County Amateur Radio Society, Inc. (BCARS) handled equipment, repeaters, funding, and legal accounting.
In February 2007, the corporate board of directors unexpectedly dissolved the active club branch with no immediate plans to reorganize it under the Society framework. Fortunately, the North Carolina State Legislature had just passed the UUNAA (effective January 2007).
The very next day, the Brunswick Shores Amateur Radio Club was established as a completely separate legal entity. This quick transition allowed club fellowship, operating proficiency, and public service activities to continue uninterrupted. In retrospect, this reorganization has proven incredibly beneficial, leading to significant growth in both membership and field operations over the years.
UUNAA Legal Overview
Drafted by the National Conference of Commissioners on Uniform State Laws (NCCUSL), the UUNAA provides robust liability protection for association members without the high financial burdens, steep filing fees, and strict maintenance requirements of full corporate structure.
Key statutory rules adopted under North Carolina General Statutes include:
- Definition: A “nonprofit association” means an unincorporated organization consisting of two or more members joined by mutual consent for a common, nonprofit purpose.
- Membership: Members are explicitly defined as individuals who participate in selecting managers, directing policy, or electing club leadership.
- Separate Legal Entity: The association is treated as a distinct legal entity separate from its members for purposes of acquiring, holding, encumbering, or transferring real and personal property.
- Legal Standing: The association can institute, defend, intervene, or participate in judicial, administrative, or governmental proceedings in its own name.
- Liability Shield: A judgment or order against the association is not by itself a judgment against an individual member or manager.
Starting a Small Club: The Basics
The Founders
While the ARRL suggests starting a club with a minimum of four officers, the Uniform Act simply requires two or more persons. BSARC launched with four initial roles: two club officers, one board member, and one dedicated person designated as the responsible agent registered directly with the State of North Carolina.
Club Name
The name should be chosen to be unique, descriptive, and clear of any conflict with existing businesses or organizations registered in the county or state.
Articles of Formation
Before regular membership forms, founders establish a foundational document outlining the purpose, nonprofit status, and basic governance structure. In corporate setups, this matches Articles of Incorporation; in Hugo, this serves as the bedrock of our rules and shapes our member-approved by-laws.

Do You Need a Lawyer?
In short: No. While the club originally engaged a lawyer in 2007 for $262 to navigate the brand-new legislation, the process is now incredibly straightforward and can be completed entirely on your own without legal counsel.
To register an unincorporated non-profit association in North Carolina, you only need to file a single form along with a $5.00 filing fee to the Secretary of State.
Government Registration Documents
1. Statement of Appointment of Agent (Required)
This is the single core requirement to achieve recognized unincorporated non-profit status in North Carolina. This filing helps protect the club from direct liability exposure when setting up electrical gear, hoisting field day towers, or operating in public spaces.
2. Statement of Authority as to Real Property (Optional)
The club originally registered a Statement of Authority as to Real Property with the Brunswick County Register of Deeds. This document automatically expires after 5 years. Because the club does not plan to buy or hold real estate assets, it is left unrenewed.

IRS 501(c)(3) vs. 501(c)(7) Status
Obtaining formal 501(c)(3) status allows for tax-deductible donations but requires a steep IRS application fee ($400+) and recurring compliance documentation. Because our small club functions strictly for pleasure, recreation, and nonprofitable purposes without significant fundraising models, we operate under standard IRS 501(c)(7) club assumptions. We maintain a simple Employer Identification Number (EIN) solely to open and manage our local club checking account.
USPS Non-Profit Mailing Rates
While the United States Postal Service offers reduced postage rates for non-profits, the process requires submitting extensive, costly independent auditor reports. Because the club handles all communications, newsletters, and announcements electronically via email and the website, non-profit postage recognition offers no real financial advantage.
Other State Implementations
The UUNAA has subtle formatting variations depending on where a club forms:
Alabama
The statement appointing an agent must be signed, acknowledged by a manager, and delivered to a probate judge, who transmits a copy to the Secretary of State.
Texas
The official address listed for the registered agent cannot be a standard P.O. Box if located in a municipality with a population greater than 5,000.
Important Considerations
- Is it necessary? If an incorporated radio club already exists stably in your immediate area, it is usually simpler to operate under their existing charter.
- Court Precedent: The UUNAA framework is relatively modern compared to age-old corporate law. Clubs holding massive amounts of capital assets may still prefer full incorporation to access deeper historical legal protections.
- Tax Code Definition: For federal income tax filing purposes, the definition of a corporation includes unincorporated associations under I.R.C. § 7701(a)(3).
